TERMS AND CONDITIONS (TERMS OF SERVICE)

Welcome to the digital coaching platform of Fitness Foundations LLC ("Company," "I," "my," "me"). By accessing or using this application, website, and my training services, you agree to comply with and be bound by the following Terms and Conditions. Please read them carefully. If you do not agree to these terms, you may not use this application.

1. Description of Service

I provide custom home exercise programming, habit coaching, lifestyle tracking, and scheduled movement sessions delivered via a hybrid mobile application and mobile concierge model. These services are structured as a monthly subscription designed to prioritize your consistency, physical longevity, and functional movement progression.

2. Session Rescheduling & "Late Cancels"

Because training services operate on a subscription model, the goal is to keep you moving forward consistently without allowing missed sessions to pile up indefinitely. The following rules govern all scheduled training slots:

-The 24-Hour Rule: Any training session rescheduled or canceled with less than twenty-four (24) hours' notice prior to the scheduled start time is legally classified as a "Late Cancel".

-The "Use It or Lose It" Principle: To enforce accountability and respect the reservation of premium, dedicated time slots, all late-canceled sessions (less than 24 hours) are immediately forfeited. Forfeited sessions do not roll over to subsequent months, are not eligible for a refund, and cannot be credited back to your account balance.

-The 14-Day Makeup Window: If you cancel or reschedule a session outside of the 24-hour window (providing more than 24 hours' notice), you are granted a strict (14) day window to book a makeup session, subject entirely to my active schedule availability.

-Cycle Expiration: Under no circumstances will makeup sessions roll over into a subsequent billing cycle or month (unless within the 14-day makeup window). If an open time slot is not found and utilized within the designated makeup window, the session expires permanently.

3. Subscription Cancellations & Pauses

Clear administrative timelines are established to protect recurring scheduling metrics and ensure business operational stability:

-The 30-Day Cancellation Notice Rule: All subscription cancellations require a strict thirty (30) day written notice. For example, if your recurring billing date occurs on the 1st of the month and notice is submitted on the 15th, you will still be successfully billed for the upcoming month's cycle and will continue to receive coaching services through that final paid period. Subscription "Pause" Policy (Freeze Option): To accommodate travel, temporary medical disruptions, or unforeseen busy seasons, you may request to pause your subscription rather than canceling it entirely, subject to the following terms:

-Duration Limit: Subscriptions may be paused for a maximum cumulative total of eight (8) weeks per calendar year.

-Time Slot Retention: To hold and guarantee your specific recurring time slot while your active training is frozen, a maintenance/hold fee of $50.00 per month will be charged. If you opt for a free pause, you explicitly acknowledge that your specific recurring time slot is surrendered and may be booked by another client.

4. Automation and Client Autonomy

To preserve the professional coach-client relationship and minimize manual administrative delays, scheduling boundaries are systematically enforced via software automation:

-App-Based Locks: My client management platform (e.g., Everfit) automatically manages appointment windows. The digital "Reschedule" and "Cancel" buttons will systematically disappear or lock exactly twenty-four (24) hours prior to any scheduled appointment.

-Self-Service Scheduling: For any modifications requested outside of the 24-hour restriction, you are required to use the application's digital calendar app to independently identify and secure an open time slot.

5. Onboarding and The Policy Grace Period

-Onboarding Acknowledgment: These policies are explicitly reviewed during your "First Session" walkthrough to establish mutual expectations. Enrolling in programming constitutes complete understanding and acceptance of these boundaries.

-The One-Time Grace Period: Because emergencies and genuine life disruptions happen, I extend a one-time courtesy waiver per calendar year for an accidental late cancel or emergency absence. Waiving a late-cancel penalty once is done purely at my sole discretion to build goodwill and does not alter, diminish, or waive the permanent enforceability of the 24-hour rule for any subsequent sessions. The waived session must follow the 14-day makeup window.

6. Billing and Refunds

-Recurring Billing: Access to custom programming, remote coaching, and scheduling rights is billed on a recurring monthly cycle via automated merchant systems.

-Refund Finality: Due to the personalized nature, labor allocation, and digital distribution of custom exercise protocols, all sales are final. Refunds or partial credits are not issued for unused components of a membership cycle.

7. Intellectual Property

All custom exercise protocols, instructional videos, templates, educational movement guides, and programming logic delivered through this app are the exclusive intellectual property of Fitness Foundations LLC. You are granted a limited, non-transferable, revocable license to use these materials for personal use only. You may not copy, share, resell, or redistribute any programming to third parties.

8. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal actions must be filed in the appropriate state or federal court located in Florida.
